1. Introduction & Acceptance of Terms

Welcome to REBALANCED LIFE SERVICES, LLC ("Rebalanced Life," "Company," "we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you, the user ("you" or "your"), and REBALANCED LIFE SERVICES, LLC, a Utah limited liability company with its principal place of business at 560 W 600 N, Logan, UT 84321-3718, United States.

By accessing or using our website located at www.rebalancedlife.lol (the "Site"), or by engaging with any of our services, products, content, or features (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Site and Services.

Your continued use of the Site following any modifications to these Terms shall constitute your acceptance of such changes. We encourage you to review these Terms periodically.

2. Eligibility

By using the Site and/or Services, you represent and warrant that:

• You are at least 18 years of age, or have reached the age of majority in your jurisdiction of residence;
• You have the legal capacity and authority to enter into a binding contract;
• You are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country;
• You are not listed on any United States government list of prohibited or restricted parties;
• All information you provide to us is truthful, accurate, current, and complete; and
• Your use of the Services will comply with all applicable federal, state, and local laws and regulations.

We reserve the right to refuse service, terminate accounts, or restrict access to the Site to anyone for any reason at our sole discretion, without prior notice or liability.

3. Definitions

For the purposes of these Terms, the following definitions shall apply:

• "Services" means all products, services, content, features, technologies, and functionalities offered by REBALANCED LIFE SERVICES, LLC through the Site, including but not limited to life coaching consultations, wellness programs, digital resources, subscription content, and any related support or ancillary services.
• "User," "you," or "your" means any individual or entity that accesses or uses the Site or Services, whether as a registered user, subscriber, visitor, or otherwise.
• "Content" means all text, graphics, images, audio, video, software, data compilations, page layout, underlying code, and any other form of information capable of being stored on or transmitted via the Site.
• "User Content" means any content, materials, or information that you submit, post, upload, transmit, or otherwise make available through the Site or Services.
• "Effective Date" means the date on which these Terms were last revised and became effective, as stated at the top of this page.

4. Description of Services

REBALANCED LIFE SERVICES, LLC provides a range of wellness, life coaching, personal development, and related consulting services designed to support individuals in achieving greater balance and fulfillment in their lives. Our Services may include, without limitation:

• One-on-one and group coaching sessions conducted in person, by telephone, or via video conferencing platforms;
• Digital educational materials, workbooks, guides, and self-assessment tools;
• Subscription-based content, newsletters, and community access;
• Workshops, webinars, seminars, and live events;
• Referral and resource directories; and
• Any other services, features, or products that we may introduce from time to time.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content, without prior notice or liability. We may also impose limits on certain features or restrict access to parts or all of the Services without notice.

5. User Accounts & Registration

To access certain features of the Services, you may be required to register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete registration information;
• Maintain and promptly update your account information to keep it accurate;
• Keep your password and login credentials confidential and secure;
• Notify us immediately at talk@rebalancedlife.lol of any unauthorized use of your account or any other breach of security;
• Accept full responsibility for all activities that occur under your account, whether authorized by you or not;
• Not share, transfer, or sell your account or login credentials to any third party;
• Not create an account using a false identity or on behalf of someone other than yourself without proper authorization; and
• Not create more than one personal account unless we explicitly authorize otherwise.

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Services if we reasonably suspect that any information you provide is untrue, inaccurate, or incomplete.

6. User Responsibilities & Conduct

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to engage in any of the following prohibited activities:

• Violating any applicable federal, state, local, or international law, statute, ordinance, or regulation;
• Infringing upon or violating our intellectual property rights or the intellectual property rights of others;
• Harassing, abusing, defaming, stalking, threatening, or otherwise violating the legal rights of others, including their privacy and publicity rights;
• Transmitting any material that is unlawful, harmful, hateful, discriminatory, obscene, defamatory, libelous, or otherwise objectionable;
• Uploading or transmitting viruses, malware, trojan horses, worms, or any other malicious code designed to interrupt, destroy, or limit the functionality of any software, hardware, or telecommunications equipment;
• Interfering with or disrupting the Site, the servers, or networks connected to the Site, or disobeying any requirements, procedures, policies, or regulations of networks connected to the Site;
• Attempting to gain unauthorized access to the Site, user accounts, computer systems, or networks through hacking, password mining, or any other means;
• Using any robot, spider, scraper, or other automated means to access the Site for any purpose without our express prior written permission;
• Collecting or harvesting any personally identifiable information from the Site, including account names and email addresses;
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
• Using the Services for any commercial purpose not expressly approved by us in writing; or
• Reselling, redistributing, or otherwise making commercial use of any content or materials obtained from the Site without our prior express written consent.

We reserve the right, but have no obligation, to monitor, review, and investigate your use of the Site and Services, and to take appropriate action, including legal action, against anyone who violates these Terms.

7. Payment Terms & Billing

Certain features of the Services, including coaching packages, subscription plans, workshops, and digital products, may be offered for a fee. By selecting a paid Service, you agree to the following payment terms:

• All fees are quoted and payable in United States Dollars (USD) unless otherwise stated;
• You agree to provide valid and current payment information and authorize us or our third-party payment processor to charge all fees to your selected payment method;
• For subscription-based Services, fees are billed in advance on a recurring basis (e.g., monthly or annually) as disclosed at the time of purchase; you acknowledge that your subscription will automatically renew unless you cancel before the renewal date;
• You are responsible for all applicable taxes, including sales tax, value-added tax (VAT), goods and services tax (GST), and any other similar governmental charges, as required by law;
• We reserve the right to change our fees at any time; any price changes will be communicated to you in advance and will apply to the next billing cycle following such notice;
• If your payment method fails or is declined, we may suspend or terminate your access to the paid Services until payment is successfully processed; and
• You are responsible for any overdraft, returned payment, or similar fees charged by your financial institution.

All payment transactions are processed through secure third-party payment gateways. We do not store full credit card or payment instrument details on our servers.

8. Cancellation & Refund Policy

Subscription Cancellation: You may cancel your subscription at any time by contacting us at talk@rebalancedlife.lol or through your account settings if available. Cancellation will take effect at the end of your current billing period. You will retain access to the paid Services until the end of the period for which you have already paid. We do not provide partial refunds or credits for unused portions of a subscription period unless otherwise required by applicable law.

One-Time Purchases & Coaching Packages: Refunds for one-time purchases, coaching packages, workshops, and events are handled on a case-by-case basis. Generally:

• Requests for refunds must be submitted in writing to talk@rebalancedlife.lol within fourteen (14) calendar days of the purchase date;
• Refunds for coaching sessions that have already been conducted are not available;
• For multi-session packages, refunds will be prorated based on the number of sessions already completed, minus a reasonable administrative fee;
• Digital products, downloadable materials, and pre-recorded content are generally non-refundable once accessed or downloaded; and
• Workshop and event registration fees are refundable up to seven (7) calendar days before the scheduled event date, after which they become non-refundable, except in our sole discretion.

Any refunds approved will be processed within thirty (30) business days and will be issued to the original method of payment.

9. Intellectual Property Rights

All content, materials, and intellectual property on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, trademarks, service marks, trade dress, and the selection and arrangement thereof (collectively, "Company IP"), is the exclusive property of REBALANCED LIFE SERVICES, LLC or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and Services for your personal, non-commercial use, subject to your full compliance with these Terms. This license does not include:

• Any right to reproduce, modify, distribute, publicly display, publicly perform, republish, download, store, or transmit any Company IP except as expressly permitted herein;
• Any right to use data mining, robots, or similar data gathering or extraction methods;
• Any right to use the Site or Services for any commercial purpose, or for any public display, without our prior written consent;
• Any right to remove, alter, or obscure any copyright, trademark, or proprietary notices; or
• Any right to create derivative works based on the Company IP.

The trademarks, logos, and service marks displayed on the Site (collectively, "Marks") are our registered and unregistered trademarks. Nothing on the Site shall be construed as granting any license or right to use any Marks without our prior written permission.

10. User-Generated Content

If you submit, post, upload, or otherwise make available any User Content through the Site or Services, including but not limited to comments, testimonials, feedback, suggestions, messages, or other materials, you grant REBALANCED LIFE SERVICES, LLC a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in any media now known or hereafter developed, for any purpose, commercial or otherwise, without compensation to you.

You represent and warrant that:

• You own or control all rights in and to your User Content and have the right to grant the license set forth above;
• Your User Content is accurate and not misleading or deceptive;
• Your User Content does not violate these Terms, any applicable law, or the rights of any third party, including intellectual property rights, privacy rights, and publicity rights; and
• Your User Content is not defamatory, libelous, hateful, violent, obscene, or otherwise objectionable.

We reserve the right, but assume no obligation, to monitor, review, screen, edit, or remove any User Content at any time and for any reason without notice. We are not responsible for any User Content posted by users and do not endorse any opinions expressed therein.

11. Privacy & Data Handling

Your use of the Site and Services is also governed by our Privacy Policy, which describes how we collect, use, process, store, and disclose your personal information. By using the Site, you consent to the data practices described in our Privacy Policy. You acknowledge that the transmission of information over the Internet is not completely secure, and we cannot guarantee the security of your data transmitted to the Site; any transmission is at your own risk.

We implement reasonable administrative, technical, and physical security measures designed to protect your personal information from unauthorized access, disclosure, alteration, or destruction. However, no method of electronic storage or transmission is 100% secure, and we cannot ensure or warrant absolute security.

If you are located outside the United States and choose to provide information to us, please note that your information will be transferred to, processed, and stored in the United States. By using the Services, you consent to the transfer of your information to the United States, whose data protection laws may differ from those applicable in your country of residence.

The Site may contain links to third-party websites, applications, services, or resources that are not owned or controlled by REBALANCED LIFE SERVICES, LLC ("Third-Party Services"). These links are provided solely as a convenience and do not imply any endorsement, sponsorship, or recommendation by us of the content, products, or services available on or through such Third-Party Services.

We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any Third-Party Services. You acknowledge and agree that REBALANCED LIFE SERVICES, LLC shall not be responsible or liable, directly or indirectly, for any damage, loss, or injury caused or alleged to be caused by or in connection with your use of or reliance on any such Third-Party Services. We strongly advise you to review the terms of service and privacy policies of any third-party website or service that you visit.

13. Disclaimers & No Professional Advice

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, REBALANCED LIFE SERVICES, LLC expressly disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
• Any warranty that the Site or Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components;
• Any warranty that any errors or defects in the Site or Services will be corrected;
• Any warranty as to the accuracy, reliability, completeness, or currency of any information, content, or materials provided through the Site; and
• Any warranty arising from course of dealing, course of performance, or usage of trade.

IMPORTANT — NO PROFESSIONAL ADVICE: The content, materials, and information provided on the Site and through the Services are for informational and educational purposes only and are not intended to constitute, and do not constitute, medical advice, mental health counseling, psychological therapy, financial advice, legal advice, or any other type of professional advice. No coach-client, therapist-patient, attorney-client, or fiduciary relationship is established by your use of the Site or Services.

Never disregard professional advice or delay in seeking it because of something you have read on the Site or heard during a coaching session. 14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REBALANCED LIFE SERVICES, LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES of any kind, including without limitation damages for loss of profits, revenue, goodwill, data, use, or other intangible losses, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not REBALANCED LIFE SERVICES, LLC has been advised of the possibility of such damages, arising out of or in connection with:

• Your use of, or inability to use, the Site or Services;
• Any conduct or content of any third party on the Site or through the Services;
• Any content obtained from the Site or Services;
• Unauthorized access, use, or alteration of your transmissions or content;
• Any errors, mistakes, or inaccuracies in any content or materials; or
• Any personal injury, emotional distress, or property damage of any nature whatsoever resulting from your access to or use of the Site or Services.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF REBALANCED LIFE SERVICES, LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO REBALANCED LIFE SERVICES, LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless REBALANCED LIFE SERVICES, LLC, its members, managers, officers, directors, employees, agents, affiliates, contractors, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of, or access to, the Site and Services;
• Your violation of any provision of these Terms;
• Your violation of any applicable law, rule, or regulation;
• Your violation of any third-party right, including without limitation any intellectual property right, publicity right, confidentiality right, property right, or privacy right;
• Any User Content you submit, post, upload, transmit, or otherwise make available through the Site or Services;
• Any dispute or issue between you and any third party; or
• Any claim that your User Content caused damage to a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses. You shall not settle any claim that requires a payment of money, admission of liability, or any other admission on our part without our prior written consent.

16. Termination

These Terms shall remain in full force and effect while you use the Site or Services. We reserve the right to terminate or suspend your access to the Site and Services, or any part thereof, at any time, with or without cause, and with or without notice, effective immediately. Grounds for termination may include, but are not limited to:

• Breach or violation of any provision of these Terms or any other applicable agreement, policy, or guideline;
• Engagement in fraudulent, illegal, or inappropriate conduct;
• Failure to pay applicable fees when due;
• A request by law enforcement or other government agency;
• Unexpected technical or security issues or problems; or
• Discontinuance of or material modification to the Services.

Upon termination, your right to access and use the Site and Services shall immediately cease. You will remain liable for all amounts due up to and including the date of termination. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and governing law provisions.

17. Governing Law & Dispute Resolution

Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Utah, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Dispute Resolution — Informal Negotiation: Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at talk@rebalancedlife.lol. We will attempt to resolve the dispute informally through good-faith negotiations. Both you and REBALANCED LIFE SERVICES, LLC agree to participate in such negotiations for a period of at least sixty (60) days before either party may initiate any formal proceeding.

Mediation: If the dispute is not resolved through informal negotiation within sixty (60) days, either party may request that the dispute be submitted to non-binding mediation administered by a mutually agreed upon mediator in Cache County, Utah. The costs of mediation shall be shared equally by both parties, and each party shall bear its own attorneys' fees and costs.

Arbitration: If the dispute remains unresolved after mediation, the dispute shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Cache County, Utah. The arbitrator shall have the authority to award the same damages and relief that a court of competent jurisdiction could award, including injunctive relief and attorneys' fees where permitted by law. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Exceptions: Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction in Cache County, Utah, for matters related to intellectual property rights, data security, or unauthorized access to the Services.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You hereby waive any right to participate in a class action lawsuit or class-wide arbitration.

Jurisdiction & Venue: To the extent arbitration is not required by this Section, you and REBALANCED LIFE SERVICES, LLC agree to submit to the personal and exclusive jurisdiction and venue of the state and federal courts located within Cache County, Utah.

Time Limitation: Any claim or cause of action arising out of or related to the use of the Site, Services, or these Terms must be filed within one (1) year after such claim or cause of action arose, regardless of any statute or law to the contrary. Any claim not filed within such period shall be permanently barred.

18. Modifications to These Terms

REBALANCED LIFE SERVICES, LLC reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time and without prior notice. When we make material changes, we will make reasonable efforts to provide notice, which may include:

• Posting a prominent notice on the Site;
• Sending an email notification to registered users at the email address associated with their account; or
• Updating the "Effective Date" at the top of this page.

Material changes will become effective no sooner than thirty (30) days after the updated Terms are posted. Non-material changes become effective immediately upon posting. Your continued use of the Site or Services after the effective date of any revised Terms constitutes your acceptance of and agreement to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and Services immediately.

19. Severability

If any provision of these Terms is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, or unenforceable for any reason, that provision shall be deemed severable from the remaining terms and shall not affect the validity and enforceability of any remaining provisions. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely approximates the intent and economic effect of the original provision, and these Terms shall be construed as if they did not contain the invalid or unenforceable provision.

The failure of REBALANCED LIFE SERVICES, LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices, policies, or guidelines published by REBALANCED LIFE SERVICES, LLC on the Site, constitute the entire agreement between you and REBALANCED LIFE SERVICES, LLC concerning your use of the Site and Services. These Terms supersede all prior or contemporaneous communications, understandings, agreements, representations, and warranties, whether oral, written, or electronic, between you and REBALANCED LIFE SERVICES, LLC with respect to the subject matter hereof.

No modification, amendment, or waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of REBALANCED LIFE SERVICES, LLC. The section headings used in these Terms are for convenience only and shall not affect the interpretation or construction of any provision.
